Job Summary

We are seeking a highly skilled and experienced AVP, Legal Counsel to join our team at Ultimus Fund Solutions, LLC. The successful candidate will be responsible for providing legal administration services to our clients, ensuring compliance with relevant regulations, and leading the preparation and distribution of client board and committee materials.

Key Responsibilities
  • Supervise the preparation of client registration statement updates and other client SEC filings in an accurate and timely manner.
  • Lead the preparation and distribution of client board and committee materials, including minutes and presentations.
  • Attend board and committee meetings to record notes and make presentations.
  • Provide updates to clients on recent regulatory events and conduct limited regulatory research.
  • With review by a more senior attorney, draft Ultimus contract amendments and other documents as needed.
Requirements
  • A J.D. and membership in the bar of at least one state.
  • 3-5 years of experience as a 1940 Act attorney.
  • 3-5 years of management and leadership experience.
  • Knowledge of relevant securities laws, including the Investment Company Act of 1940 and the Securities Exchange Act of 1934.
Preferred Qualifications
  • Oral and written communication skills, with the ability to set forth legal principles in plain English.
  • Legal research skills and an aptitude for legal analysis.
  • Ability to motivate and inspire others, and to assess performance to make improvements or take corrective action.
